Practice
The work has a shape, not a catalogue.
Instructions differ. They tend to gather under three headings, named so that a first conversation can begin in the right place.
We are not retained to add noise to a process that is already crowded. The useful work is usually a clearer question, asked before the firm has talked itself into an answer.
01
Counsel
There are decisions that should not be taken inside the momentum of a deal, a board cycle, or a long-running management meeting. The facts may already be known. The advisers may be excellent. What is missing is a stretch of attention that belongs to the decision alone.
We sit with the principal and examine the choice on its own terms. What it commits. What it forecloses. Who must carry it after the announcement, and whether they have been told the truth of it. We are not there to add another opinion to a stack. We are there to make the existing opinions answerable to the person who will live with the outcome.
This work is usually short, and it is concentrated. It may be a single question, or a sequence of them across a season in the life of the firm.
02
Continuity
Firms outgrow the arrangements that created them. Ownership, leadership and the story the organisation tells about itself fall out of alignment, often while the numbers still look sound. The founder remains the centre of too many decisions. A successor has been named and not actually empowered. A family and a business have begun to want different things from the same asset.
We help principals think through that passage. Succession of role, of ownership, and of authority are not the same event, and treating them as one is how good companies become confused ones. The aim is a firm that can continue without pretending that the conditions of its early years are still in place.
We do not recruit, and we do not draft the legal instruments. We work on the judgment underneath both.
03
Standing
Private companies develop a public life whether they seek one or not. Staff, customers, regulators, the press, and the people who might one day own the firm all form a view. Silence is sometimes right. It is rarely the same thing as having nothing to say.
We advise on reputation and narrative with a preference for accuracy over display. What is true, what is ready to be said, and what should remain in the room. The object is a standing the principal can inhabit without performance, and that the firm can sustain when the news is less convenient.
This is not media training, and it is not a campaign. It is counsel about the public consequences of private decisions, given before those consequences arrive.
If you are unsure which heading a matter belongs under, that is a reasonable way to begin. Write to the firm
